1. Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of the Platform provided by Complete AI, Co. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

2. Eligibility and Account Creation

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. To use certain features, you may need to create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. User Conduct and Acceptable Use

You agree to use the Platform only for lawful purposes and in compliance with these Terms and all applicable laws. You shall not:

1. Use the Platform to engage in illegal, fraudulent or misleading activities;
2. Infringe upon the intellectual property or privacy rights of others;
3. Upload, generate or transmit content that is harmful, defamatory, harassing or discriminatory;
4. Transmit spam, malicious code or attempt to circumvent our security measures;
5. Attempt to reverse engineer or modify the Platform or its AI models.

We reserve the right to monitor usage and remove any content that violates these Terms or applicable law. We may also suspend or terminate your account at our sole discretion for violations of these Terms.

4. Ownership and Intellectual Property

We (and our licensors) own all right, title and interest in and to the Platform, including all software, algorithms, AI models, content, trademarks and other intellectual property. You are granted a limited, non‑exclusive, non‑transferable licence to access and use the Platform for its intended purpose.

You retain ownership of any content you generate using the Platform, but by creating or uploading content you grant us a worldwide, non‑exclusive, royalty‑free licence to use, reproduce, modify, adapt, publish and display such content solely for the purpose of operating and improving the Platform.

5. AI‑Generated Output and Accuracy Disclaimer

Our Platform uses generative AI models to generate content based on user prompts. These models are probabilistic and may produce inaccurate, biased or misleading outputs. We provide no warranty regarding the accuracy, completeness or reliability of any AI‑generated output. You should not rely on AI‑generated content as a sole source of truth and must independently verify critical information. You agree that any reliance on such output is at your own risk.

6. Use of Input and Output; Compensation Disclaimer

You are responsible for the content of the prompts you provide and any outputs generated. You acknowledge and agree that by submitting prompts and using our AI services, your inputs and outputs may be processed by third‑party AI providers to operate and improve the models. We use commercially reasonable measures to de‑identify data where possible. You also understand that submitting content to our service does not entitle you to compensation or royalties.

7. Payment and Subscriptions

If you purchase a subscription or paid feature, you agree to pay all applicable fees. Pricing and billing cycles will be stated on the Platform or in a separate agreement. Payments will be processed through our authorised payment processor. We may modify pricing at any time on reasonable notice.

8. Termination and Suspension

You may terminate your account at any time by following the instructions on the Platform. We reserve the right to suspend or terminate your account or access to the Platform at our sole discretion, including for any violation of these Terms. Upon termination, your licence to use the Platform will cease, and we may delete your content and account data.

9. Third‑Party Content and Links

The Platform may contain links to third‑party websites or services. We provide these links for convenience and do not endorse or assume responsibility for their content. You use third‑party links at your own risk; you should investigate the applicable terms and privacy practices before interacting with them.

10. Disclaimers and Warranties

No warranty. The Platform, including all content and AI‑generated output, is provided on an "as‑is" and "as available" basis without warranties of any kind. To the fullest extent permitted by law, we make no warranty that the Platform will meet your requirements, be uninterrupted, secure or error‑free.

No professional advice. AI‑generated content is for informational purposes only and should not be construed as professional advice (e.g., legal, medical, financial). You should consult appropriate professionals before making decisions based on AI‑generated content.

11. Limitation of Liability

To the maximum extent permitted by law, Complete AI, Co. will not be liable for any indirect, incidental, consequential, special or exemplary damages arising out of or related to your use of the Platform. To the extent permitted by law, our cumulative liability for any claim will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid us in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Complete AI, Co., its officers, directors, employees, and agents from any claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms or your violation of applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware (without regard to conflict of law rules). Any disputes arising out of or relating to these Terms or the Platform will be resolved through binding arbitration under the rules of the American Arbitration Association in San Francisco, California, unless another forum is mandated by law. You waive the right to participate in class actions.

14. Updates to the Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Platform. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms.
